Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at horex.ae and the HoreX restaurant management platform, applications, and related services (together, the "Service"), provided by HoreX ("HoreX", "we", "us", or "our"), operating in the United Arab Emirates. Please read these Terms carefully. By accessing or using the Service, you agree to be bound by them.

1. Acceptance of Terms

By accessing, browsing, registering for, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

If you do not agree with these Terms, you must not access or use the Service. We may require you to accept updated Terms before continuing to use the Service.

2. Use of the Service

Subject to your compliance with these Terms, HoreX grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. You agree to use the Service only for lawful purposes and in accordance with these Terms.

You agree not to

• Use the Service in any way that violates applicable UAE laws or regulations, or the laws of any jurisdiction from which you access it.
• Copy, modify, reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by law.
• Resell, sublicense, rent, lease, or otherwise commercially exploit the Service without our prior written consent.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or any connected systems or networks.
• Upload or transmit malware, or use the Service to store or distribute unlawful, infringing, or harmful content.
• Use automated means (bots, scrapers) to access the Service in a manner that places an unreasonable load on our infrastructure.

We reserve the right to suspend or terminate access where we reasonably believe these Terms have been breached, or where necessary to protect the Service, other users, or third parties.

3. Accounts

Certain features of the Service require an account. When you create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for:

• Maintaining the confidentiality of your account credentials, including any operator PINs and user passwords.
• All activity that occurs under your account, whether or not authorized by you.
• Promptly notifying us of any unauthorized use of your account or any other breach of security at support@horex.ae.

You must be at least 18 years old and capable of entering into a binding contract to open an account. We may refuse, suspend, or terminate accounts at our discretion, including for non-payment, suspected fraud, or breach of these Terms.

4. Fees and Payment

Where the Service is provided on a paid basis, you agree to pay all applicable fees as described in your order, subscription plan, or written agreement with us. Unless stated otherwise, fees are quoted in UAE Dirhams (AED) and are exclusive of value-added tax (VAT) and other applicable taxes, which will be added where required by UAE law. Fees are non-refundable except where expressly stated or required by law.

5. Intellectual Property

The Service, including all software, text, graphics, logos, designs, user interfaces, and underlying technology, is owned by HoreX or its licensors and is protected by intellectual property and other laws. Except for the limited rights expressly granted to you in these Terms, no rights, title, or interest in the Service are transferred to you.

The "HoreX" name, logo, and all related marks are trademarks of HoreX. You may not use them without our prior written permission. You retain ownership of the data and content you submit to the Service ("Your Content"). You grant HoreX a limited license to host, process, and display Your Content solely to provide and improve the Service, in accordance with our Privacy Policy.

6. Third-Party Services

The Service may integrate with or link to third-party products and services — for example payment providers, delivery aggregators, messaging platforms, and analytics tools. We are not responsible for the content, policies, or practices of any third party. Your use of those services is governed by their own terms and policies, and any dealings with them are solely between you and the third party.

7. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.

8. Limitation of Liability

To the maximum extent permitted by applicable law, HoreX and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages.

To the extent liability cannot be excluded, our total aggregate liability arising out of or relating to the Service shall not exceed the total fees you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under UAE law.

9. Indemnification

You agree to indemnify and hold harmless HoreX and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if you breach these Terms, fail to pay applicable fees, or where we are required to do so by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If a change is material, we will take reasonable steps to notify you — for example, by email to active customers or a notice within the Service — before it takes effect. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles. Subject to any mandatory consumer protections, you agree that the competent courts of the Emirate of Dubai, United Arab Emirates, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. The parties may first attempt to resolve any dispute amicably through good-faith negotiation.

13. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy and any order or written agreement, constitute the entire agreement between you and HoreX regarding the Service. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
